WEBSITE TERMS OF USE AND
END USER LICENSE AGREEMENT

These Website Terms of Use and End User License Agreement (the “Terms”) are a binding agreement between you and TEAM Alliance, a nonprofit organization based in the United States that serves participants in multiple countries (“TEAM Alliance,” “we,” “us,” or “our”). These Terms govern your access to and use of https://teamalliance.org, including its pages, materials, downloads, forms, and related features (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site for a school, nonprofit, team, event host, business, or other organization, you represent that you have authority to accept these Terms for that organization, and “you” includes that organization.

1. Eligibility and Adult Responsibility

The Site provides information about youth robotics programs and may be viewed by minors. A minor may use the Site only with the involvement and permission of a parent or legal guardian. Only an adult with legal capacity may create an account, register or pay for a team or event, submit binding forms, or otherwise enter into a transaction with TEAM Alliance. Parents, guardians, team coordinators, educators, and event hosts are responsible for supervising minors’ use of the Site and compliance with these Terms.

2. Other Policies and Services

These Terms incorporate by reference the policies posted on the Site that apply to your activities, including the Privacy Policy, Youth Protection Policy, Code of Conduct, Student-Powered™ Policy, Team Coordinator Pledge, Organization Definition, and Payment Terms & Refund Policy. If a specific policy conflicts with these Terms on the subject that policy addresses, the specific policy controls.

Team registration, event posting, account management, payments, and related services may be provided through myTEAMevents.org or another platform. Additional terms shown on that platform may apply. A transaction is also subject to the program rules, event requirements, pricing, and refund terms presented when the transaction occurs.

3. Limited License to Use the Site

Subject to these Terms, TEAM Alliance grants you a limited, personal, revocable, nonexclusive, nontransferable license to access and use the Site for lawful, noncommercial purposes related to learning about, evaluating, supporting, or participating in TEAM Alliance programs. This is a license, not a sale or transfer of ownership.

You may print or download materials only when the Site permits it and only for your own internal educational or program-participation use. You must keep all copyright, trademark, attribution, and other notices intact. Any broader reproduction, publication, adaptation, distribution, public display, commercial use, or creation of derivative works requires TEAM Alliance’s prior written permission unless applicable law expressly permits it.

4. Intellectual Property

The Site and its contents—including text, program names, competition materials, mission materials, rules, field designs, graphics, photographs, videos, logos, icons, downloads, page layouts, and software—are owned by or licensed to TEAM Alliance and are protected by intellectual-property laws. TEAM Alliance, TEAM Alliance logos, Student-Powered™, and other TEAM Alliance names and marks may not be used in a manner that implies endorsement, affiliation, or sponsorship without prior written permission.

Third-party names, products, logos, and marks, including those of program and technology partners, remain the property of their respective owners. Nothing on the Site grants you a license to use third-party intellectual property.

6. User Submissions and Feedback

If you submit comments, forms, files, event information, photographs, videos, suggestions, or other content through the Site (“Submissions”), you retain any ownership rights you have. You grant TEAM Alliance a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and use the Submission as reasonably necessary to operate the Site, administer programs, respond to you, and carry out the purpose for which you submitted it. Any public or promotional use of identifiable participant photos or videos remains subject to the Privacy Policy and applicable consent requirements.

You represent that you have the rights and permissions needed to provide each Submission and that it does not violate law or another person’s rights. Do not submit confidential information unless a TEAM Alliance form specifically requests it. Feedback or ideas about the Site or programs may be used by TEAM Alliance without restriction or compensation, provided TEAM Alliance does not publicly identify you as the source without permission.

7. Privacy and Children’s Information

TEAM Alliance’s collection and use of personal information are described in its Privacy Policy at https://teamalliance.org/privacy/. Adults should not submit a child’s personal information unless they are authorized to do so and the information is requested for a TEAM Alliance purpose. If you believe a child has provided personal information improperly, contact privacy@teamalliance.org.

8. Program and Event Information

The Site may describe programs, eligibility divisions, schedules, pricing, grants, event opportunities, rules, or results. TEAM Alliance may correct errors and update or withdraw this information. Availability is not guaranteed, and program or event details may change. Official registration confirmations, current program rules, and direct communications from TEAM Alliance or an authorized Event Host control over general Site summaries.

Use of the Site does not register a participant, reserve a place, create an event, guarantee funding, or establish eligibility unless TEAM Alliance expressly confirms it through the applicable registration process.

9. Third-Party Sites and Services

The Site may link to or integrate with third-party sites and services, including registration, payment, social-media, video, analytics, and partner platforms. TEAM Alliance does not control and is not responsible for third-party content, availability, security, privacy practices, or terms. Your use of a third-party service is governed by that provider’s terms. A link does not necessarily imply TEAM Alliance’s endorsement.

10. Availability, Security, and Changes

TEAM Alliance may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not promise uninterrupted, error-free, or secure operation. You are responsible for using reasonable security measures, maintaining current software, and protecting any credentials associated with linked services. Notify TEAM Alliance promptly if you suspect misuse relating to the Site.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TEAM ALLIANCE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. TEAM ALLIANCE DOES NOT WARRANT THAT SITE CONTENT IS COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

Site content is general information and is not legal, medical, safety, educational, tax, or other professional advice. Program participation, robotics equipment, tools, batteries, travel, and in-person events involve risks not created or eliminated by the Site. Applicable safety instructions, event rules, school policies, manufacturer instructions, and adult supervision requirements must be followed.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM ALLIANCE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TEAM ALLIANCE AND THE PERSONS LISTED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO TEAM ALLIANCE FOR USE OF THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TEAM Alliance and its directors, officers, employees, volunteers, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your material violation of these Terms, or a Submission that infringes or violates another person’s rights. This section does not require you to indemnify anyone for that person’s own negligence, willful misconduct, or violation of law.

14. Suspension and Termination

TEAM Alliance may suspend or terminate your access to the Site if it reasonably believes you have violated these Terms, created a security or safety risk, infringed rights, or exposed TEAM Alliance or others to liability. The provisions that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and general terms—will survive.

15. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction where TEAM Alliance maintains its principal place of business, without regard to conflict-of-laws principles, except to the extent the laws of your country, state, province, or other place of residence provide mandatory protections that cannot be waived by contract. Nothing in these Terms limits any consumer or other statutory rights that applicable law does not permit you to waive.

To the extent legally permitted, any court proceeding arising from or relating to these Terms or the Site must be brought in a court of competent jurisdiction serving the location of TEAM Alliance’s principal place of business. If applicable law gives you the right to bring a proceeding in your home jurisdiction, that right is not affected. Before filing a claim, each party agrees to provide written notice describing the dispute and to make a good-faith effort for at least thirty days to resolve it informally, except when immediate injunctive or other emergency relief is reasonably necessary.

16. Changes to These Terms

TEAM Alliance may revise these Terms from time to time. Updated Terms will be posted on the Site with a new effective date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Site after updated Terms take effect constitutes acceptance of the revised Terms. If a change materially affects an existing paid transaction, the terms in effect when that transaction was completed will continue to govern that transaction unless law or the applicable transaction terms require otherwise.

17. General Terms

These Terms and the incorporated policies are the entire agreement between you and TEAM Alliance concerning use of the Site, except for any separate written agreement or transaction-specific terms. If a provision is held unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain effective. TEAM Alliance’s failure to enforce a provision is not a waiver. You may not assign these Terms without TEAM Alliance’s prior written consent; TEAM Alliance may assign them in connection with a reorganization, merger, transfer of operations, or similar transaction. Headings are for convenience only. The words “including” and “includes” mean “including without limitation.”
